Updated 24 September 2026
These terms cover the website and a paid engagement. A statement of work names the scope and the fee. Together they are the contract.
1.Parties
These terms are between UPTECH RUNE TECHNOLOGY LLC (“Uptechrune”) and the person or company that uses https://uptechrune.com or accepts a statement of work. The registered office is 8 The Green, Suite A, Dover, Delaware 19901, United States. Delaware file number 10556730.
“You” means the client named in the statement of work. If you write to us before a statement of work exists, you are a correspondent, not yet a client.
2.The website
Reading the site, sending an email, or opening the client portal page does not hire Uptechrune. The pages describe the practices we offer. They are not a promise of a search ranking, an advertising result, a product-feed approval, or a model outcome.
Uptechrune is an independent consultancy and is not a Google partner. Google Ads, Merchant Center, Google Analytics, and Google Search Console are trademarks of Google LLC. Other marks on the site belong to their owners.
3.How an engagement is formed
Paid work starts when both sides accept a statement of work. The statement of work names the outcome, what is out of scope, the fee in US dollars, and what delivery means. These terms apply to that engagement. If a sentence in the statement of work conflicts with these terms, the statement of work controls for that engagement.
Work does not start until you have accepted the statement of work and the invoice terms. A conversation, a proposal that you have not accepted, or a note sent from this website is not acceptance.
How the purchase works is also described on the engagements page. That page does not set a price. The price is the fee in the statement of work.
4.Fees and invoices
Fees are in United States dollars. UPTECH RUNE TECHNOLOGY LLC issues the invoice. You pay by bank transfer or by card. We do not ask for a card number on this website.
An invoice is due 14 days after its date, unless the statement of work names a different date. If an invoice is unpaid 14 days after the due date, we may pause the work until it is paid. Overdue amounts accrue interest at 1% per month, or the highest rate Delaware law allows if that is lower.
A fee is for the scope that was written. A new request is a change to the statement of work, not an assumption that the original fee covers it.
5.Delivery and acceptance
We deliver what the statement of work names: software in your repository, structure in an account that stays in your name, or a written note. We do not ship physical goods.
You have 10 business days after a delivery to write to hello@uptechrune.com with a specific defect. A defect is something the statement of work required that is missing or does not work. A new idea is not a defect. If you do not write in those 10 business days, the delivery is accepted.
Business days are Monday to Friday, US Eastern, excluding US federal holidays. Cancellation and refunds are on the delivery and refunds page. That page is part of these terms.
6.Your accounts and materials
Repositories, Google Ads, Merchant Center, analytics, Search Console, and hotel records that are already in your name stay in your name. We do not take ownership of them, and we do not rent them back as a platform.
You give us the access the statement of work needs, and you may revoke it when the engagement ends. Credentials for those accounts are not requested on this website. Do not send passwords or payment card numbers to hello@uptechrune.com.
7.Intellectual property
When the fees for a delivery are paid, you own that delivery. We keep our pre-existing tools, libraries, and methods. You receive a license to use those pre-existing materials only as part of the paid delivery, and only for your own business.
Third-party software, fonts, models, and data stay under their own licenses. We do not assign those to you.
8.Confidentiality
Each side keeps the other’s non-public information confidential during the engagement and for three years after it ends, and uses it only for the engagement. This does not cover information that is public, already known without a duty of confidence, independently developed, or required by law.
We may name you as a client, with the mark you already use in public, unless the statement of work says not to.
9.Warranties
We perform the work with reasonable care and skill. We do not warrant a search position, an advertising return, a Merchant Center approval, an uninterrupted model, or a particular business result.
Except for the warranties that Delaware law does not allow us to exclude, the site and the work are provided without any other warranty, including an implied warranty of merchantability or fitness for a particular purpose.
10.Liability
We are not liable for a decision made from the public pages alone. For a paid engagement, our total liability is limited to the fees you paid us for that engagement in the three months before the claim.
We are not liable for lost profits, lost data, or indirect damages, except where Delaware law does not allow that limit. Nothing in these terms limits liability for fraud or for death or personal injury caused by negligence, where the law forbids that limit.
11.Term and ending the work
An engagement ends when the statement of work is delivered and accepted, or when either side ends it in writing. Either side may end a retainer with 14 days’ written notice to hello@uptechrune.com, or to the address in the statement of work.
We may end an engagement immediately if you do not pay an overdue invoice after notice, or if the work is something we decline under the next section. Fees for work already delivered stay due. Refunds of amounts paid for work not started, and of unused prepaid time, follow the delivery and refunds page.
12.Work we decline
We do not design, build, advertise, optimize, or operate gambling, or any other illegal or prohibited business. An inquiry does not oblige us to accept the work. We may decline a project we cannot explain to the person who owns the budget.
13.Client portal
A portal account exists only when we issue it. To register, write to hello@uptechrune.com. The public sign-in form does not create an account, does not open a session, and does not store the password you type. Access to a client’s own ads, merchant, analytics, or code accounts is arranged by email, after an engagement exists.
14.Hotel software
Hotel software on this site is custom software commissioned for one hotel under a statement of work. It is not a license you can buy or switch on from the page. Rooms, rates, and channel accounts stay in the hotel’s name.
15.Site content
Text and original graphics on this site belong to UPTECH RUNE TECHNOLOGY LLC, except marks that belong to their owners. Client names and logos appear because that company commissioned work, and those marks stay theirs. You may link to the site. You may not copy the pages and present them as your own service.
16.Law
The laws of the State of Delaware, United States, govern these terms and any engagement, without regard to conflict-of-law rules. A dispute is brought in the state or federal courts located in Delaware. You consent to that venue and to personal jurisdiction there.
These terms and the statement of work are the whole agreement for the engagement. They replace earlier conversations about the same scope. If a court holds one sentence unenforceable, the rest stays in effect.
Questions about these terms go to hello@uptechrune.com. Correspondence hours are Monday–Friday, 09:00–17:00 US Eastern. How we handle information is on the privacy page.
